1. Agreement to Terms

By accessing or using the services provided by Codezone Software ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Codezone Software provides software development services, including but not limited to:

Frontend Architecture & Development
Mobile Application Development
UI/UX Engineering
Performance Optimization
Backend & API Architecture
DevOps & Cloud Infrastructure

3. Client Responsibilities

As a client, you agree to:

Provide accurate and complete information necessary for project execution
Respond to communications in a timely manner
Make payments according to agreed-upon schedules
Provide necessary access to systems, accounts, and resources
Review and approve deliverables within agreed timeframes

4. Intellectual Property

Upon full payment, all custom code, designs, and deliverables created specifically for your project become your property. We retain the right to:

Use general knowledge and techniques gained during the project
Reuse non-proprietary components, libraries, and tools
Showcase the project in our portfolio (unless otherwise agreed)

Pre-existing intellectual property and third-party licenses remain with their respective owners.

5. Payment Terms

Payment terms are specified in individual project agreements. General terms include:

Deposits may be required before project commencement
Milestone payments are due upon delivery and approval of each phase
Late payments may incur additional fees or project suspension
All prices are exclusive of applicable taxes unless stated otherwise

6. Project Changes & Scope

Changes to project scope after agreement signing may:

Require additional time and cost estimates
Be documented through change orders
Affect project timelines and milestones

Both parties must agree to scope changes in writing before implementation.

7. Confidentiality

Both parties agree to keep confidential all proprietary information, trade secrets, and sensitive data shared during the engagement. This obligation survives the termination of any agreement.

8. Warranties & Disclaimers

We warrant that our services will be performed with professional skill and care. However:

We do not guarantee specific business outcomes or results
Third-party services and integrations are subject to their own terms
Services are provided "as is" after the warranty period

9. Limitation of Liability

To the maximum extent permitted by law, Codezone Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amounts paid by you for the specific services giving rise to the claim.

10. Termination

Either party may terminate a project agreement with written notice. Upon termination:

Payment is due for all work completed to date
Deliverables paid for will be transferred to the client
Confidentiality obligations remain in effect

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes shall be resolved in the courts of Istanbul, Turkey.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
